IT Recruitment & Talent Solutions

Bridgesource LLC (“Bridgesource”, “we”) provides IT recruitment and talent solutions to business clients (“Client”, “you”).
These General Business Conditions (GBC) apply to all services unless otherwise agreed in writing.

1. Scope
1.1 These GBC apply to all recruitment and related services provided by Bridgesource LLC, particularly for placements in Germany and the EU.
1.2 Client terms do not apply unless expressly accepted in writing.
1.3 Individual written agreements prevail over these GBC in case of conflict.

2. Our Services
We provide:
- Direct recruitment for permanent employment (full-time/part-time)
- Placement of freelancers and independent contractors
- Retained / continuous recruitment services
- Relocation-oriented recruitment to Germany
- Talent advisory and executive search support

Bridgesource does NOT provide employee leasing / temporary staffing (“Arbeitnehmerüberlassung”) within the meaning of the German AÜG.

3. Role & Contract Relationships
3.1 Bridgesource acts solely as an intermediary between Client and Candidate.
3.2 Employment, freelance, or contractor agreements are concluded exclusively between Client and Candidate.
3.3 Bridgesource is not a party to such agreements.

4. Client Responsibilities
4.1 The Client is solely responsible for compliance with applicable laws, including German labor law, minimum wage (MiLoG), anti-discrimination (AGG), tax, payroll, social security, immigration, and collective agreements.
4.2 The Client must provide accurate job and compensation details and inform Bridgesource of hiring decisions.

5. Fees & Trigger Events
5.1 A placement fee becomes due if, within 12 months after introduction, the Client hires or engages the Candidate directly or indirectly.
5.2 Fee details are defined in the Offer Letter or Service Agreement.
5.3 Invoices are payable within 14 days unless agreed otherwise.

6. Non-Circumvention
The Client may not directly or indirectly engage a Candidate introduced by Bridgesource without paying the agreed fee. This applies for 12 months from introduction.

7. Freelancer/Contractor Compliance
7.1 The Client is solely responsible for compliance with German and EU regulations regarding freelancer engagement, including risks of misclassification (Scheinselbstständigkeit).
7.2 Bridgesource assumes no liability for reclassification by authorities.

8. Data Protection (GDPR)
8.1 Both Parties shall comply with GDPR and applicable data protection laws.
8.2 Candidate data may only be processed for recruitment purposes and must be protected appropriately.
8.3 Candidate data may not be shared with third parties without legal basis or consent.
8.4 Each Party shall notify the other Party of any personal data breach without undue delay.

9. Candidate Information & No Guarantee
9.1 Bridgesource presents Candidates based on available information but does not guarantee performance, availability, or accuracy of Candidate-provided information.
9.2 Due diligence and hiring decisions remain the Client’s responsibility.

10. Liability
10.1 Bridgesource is liable only for intent and gross negligence, subject to mandatory law.
10.2 No liability for indirect or consequential damages.
10.3 Total liability is capped at the placement fee actually paid, unless mandatory law requires otherwise.
10.4 After signing an Offer Letter or employment agreement, all responsibilities and claims regarding the Candidate rest solely with Client and Candidate.

11. Confidentiality
All exchanged non-public information must be treated as confidential and used solely for recruitment purposes. This obligation survives termination for 3 years.

12. Term & Termination
12.1 Either Party may terminate cooperation with 30 days’ written notice unless otherwise agreed.
12.2 Payment obligations for Candidates introduced prior to termination remain unaffected.

13. Force Majeure
Neither Party is liable for delays due to circumstances beyond reasonable control including natural disasters, strikes, pandemics, war, government restrictions, or Candidate withdrawal.

14. Governing Law & Jurisdiction
These GBC are governed by German law excluding conflict-of-law rules.
Exclusive jurisdiction is Frankfurt am Main, Germany, unless otherwise agreed.

15. Severability
If any provision is invalid, the remaining provisions remain effective.
